Welcome to HireProfit.ai, a service owned and operated by JobMob, LLC, a Wyoming limited liability company (“Company”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of the IncentivIQ.ai website, software platform, and related services (collectively, the “Services”).

By accessing or using the Services, you (“you” or “User”) agree to be legally bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 18 years old and authorized to enter into contracts on behalf of your organization to use the Services. You represent that you have the authority to bind your organization to these Terms.

2. Description of Services

HireProfit.ai provides automated tools to assist businesses in identifying and filing for hiring-related tax credits and incentives, including but not limited to federal Work Opportunity Tax Credits (WOTC), state, local, and zone-based employment incentives.

We use AI-powered monitoring to surface opportunities and submit claims on your behalf when authorized. While we make every reasonable effort to track, calculate, and file for applicable incentives, we do not guarantee eligibility, approval, or the accuracy of any government determination.

3. No Guarantee of Results

You acknowledge and agree that:

  • We are not responsible for government decisions regarding credit eligibility, approval, disallowance, audit results, or payment timelines.
  • Missed credits or delays due to incomplete or inaccurate information provided by you are not our responsibility.
  • You remain solely responsible for your own tax and financial obligations.

We make no warranties or guarantees, express or implied, as to the availability or actual receipt of any credits, grants, rebates, or other incentives.

4. User Responsibilities

To use the Services, you agree to:

  • Provide accurate, complete, and up-to-date employee and business information.
  • Authorize us to file claims or credit applications on your behalf where applicable.
  • Retain copies of filings and records as required under applicable law.
  • Not use the Services for any illegal or fraudulent activity.
5. Fees and Payment

Our pricing is disclosed at the time of registration or in your customer agreement. HireProfit.ai operates on a performance-based model, charging a percentage of successfully identified and filed credits unless otherwise specified.

Fees are due upon confirmed approval of credit(s) or as otherwise agreed in writing.

6. Confidentiality & Data Usage

We treat your information with strict confidentiality and use reasonable industry practices to protect it. Please see our [Privacy Policy] for full details.

By using the Services, you authorize us to:

  • Collect and process employee and business data to determine credit eligibility.
  • Share required information with applicable government agencies solely for the purpose of credit applications and claims.
  • Contact you regarding account updates, results, or Service improvements.
7. Intellectual Property

All content and technology related to the Services, including software, documentation, and trademarks, are the property of JobMob, LLC or its licensors. You agree not to copy, reverse-engineer, or resell any part of the Services without our express written consent.

8. Limitation of Liability

To the fullest extent permitted by law:

  • We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, even if we have been advised of the possibility of such damages.
  • Our total liability under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
9. Indemnification

You agree to indemnify, defend, and hold harmless JobMob, LLC, its officers, agents, employees, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses (including attorneys’ fees and costs) arising out of or in connection with:

  • Your use of the Services;
  • Your violation of these Terms or applicable law;
  • Any failure to provide timely, complete, or accurate information resulting in missed or disallowed credits;
  • Your reliance on our Services for tax planning or compliance.
10. Governing Law

These Terms and any disputes arising out of or related to the Services shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of law principles.

11. Dispute Resolution & Mediation

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, or interpretation thereof shall be resolved exclusively by confidential mediation conducted virtually through Judicial Arbitration and Mediation Services, Inc. (JAMS).

  • Both parties agree to waive the right to a trial by jury or to participate in class actions.
  • Mediation shall be conducted by a single neutral mediator with experience in SaaS or business contracts.
  • Each party shall bear its own legal fees and costs unless otherwise determined by the mediator.
12. Modifications to These Terms

We may revise these Terms from time to time. We will notify you of material changes via email or within the platform. Continued use of the Services after such changes constitutes your acceptance of the updated Terms.

13. Termination

We may suspend or terminate your access to the Services at any time for violations of these Terms, or if we believe your conduct is harmful to our business or users.

You may cancel your account at any time by contacting support. Upon termination, your access to the Services will cease, but any outstanding obligations (including payment of success fees) will survive.
